1. Estado do projeto e da futura sociedade

A Eureka Nexus encontra-se numa fase pré-constituição empresarial. A sociedade que irá estruturar e desenvolver o projeto ainda se encontra em processo de constituição e formalização.

2. Founding Pre-Round

A Eureka Nexus Founding Pre-Round procura captar até €1.000.000 de capital inicial para apoiar, entre outras áreas, a constituição da empresa, desenvolvimento da Eureka AI, contratação de equipa, infraestrutura computacional, segurança, produto, operações e expansão internacional.

O investimento mínimo indicativo é de €100. A referência económica apresentada nesta fase corresponde a uma avaliação indicativa de €4.000.000 pre-money e €5.000.000 post-money caso a ronda seja integralmente subscrita, correspondendo nesse cenário a uma participação máxima indicativa de até 20% atribuível à totalidade da ronda.

Estes valores são referências indicativas para a estruturação da ronda e não constituem, isoladamente, emissão imediata de quotas, ações ou outro título societário.

3. Natureza pré-constituição

Os fundos desta fase são recebidos antes da conclusão da constituição da futura sociedade Eureka Nexus.

Uma transferência blockchain, por si só, não transforma automaticamente o participante em sócio ou acionista. A participação societária final depende da aceitação do investimento, da constituição da sociedade e da assinatura ou emissão da documentação definitiva aplicável.

4. Participação indicativa

Quando apresentada no site, a percentagem indicativa é calculada utilizando como referência o montante de investimento dividido pela avaliação post-money indicativa de €5.000.000.

O resultado é apenas uma estimativa de referência e poderá ser ajustado ou formalizado de modo diferente na documentação definitiva.

5. Pagamentos blockchain

A infraestrutura atual da Founding Pre-Round utiliza BNB Smart Chain Mainnet. O endereço oficial de receção apresentado na página da ronda deve ser confirmado pelo participante antes de realizar qualquer transferência.

Podem ser submetidas transferências em BNB ou tokens BEP-20. Ativos sem preço, liquidez ou valor verificável ficam sujeitos a revisão manual e não são automaticamente contabilizados como investimento aceite.

Não devem ser enviados BTC, SOL ou ativos através de outras redes para o endereço BNB Smart Chain apresentado.

6. Irreversibilidade

Transações blockchain podem ser irreversíveis. O participante é responsável por confirmar rede, endereço, ativo e montante antes de autorizar uma transferência na sua wallet.

7. Verificação da wallet

O sistema pode solicitar uma assinatura criptográfica para demonstrar controlo da wallet indicada. A assinatura de verificação não movimenta fundos e não representa, por si só, aceitação definitiva do investimento.

A Eureka Nexus nunca deve pedir seed phrase, chave privada ou código de recuperação da wallet.

8. Verificação e comprovativo

Uma transferência submetida pode ser verificada on-chain quanto ao estado da transação, rede, endereço de origem, destino, confirmações e ativos transferidos.

O comprovativo e a referência gerados pelo sistema demonstram o registo e/ou verificação técnica da transferência. Não constituem, isoladamente, emissão de quotas, ações ou outro instrumento societário definitivo.

9. EKNX é separado da participação societária

EKNX é o ativo digital do ecossistema Eureka Nexus e é juridicamente e economicamente tratado separadamente da futura participação societária.

Investir na Founding Pre-Round não significa comprar EKNX. Da mesma forma, possuir ou minerar EKNX não concede automaticamente participação na futura sociedade.

10. Risco

Participar numa fase inicial de um projeto tecnológico envolve risco elevado. A constituição empresarial, desenvolvimento de produto, adoção, receitas, financiamento futuro, tecnologia, segurança, mercado e execução podem evoluir de forma diferente do previsto.

Não existe garantia de valorização, retorno financeiro, dividendos, liquidez, aquisição futura, distribuição de lucros ou sucesso comercial.

11. EKNX e ativos digitais

A Eureka Nexus não garante preço, valorização, liquidez, rentabilidade ou retorno de EKNX. O valor de mercado de ativos digitais pode subir, descer ou perder substancialmente o seu valor económico.

12. Mineração

A pool oficial utiliza a regra definida de taxa de mineração de 1% sobre recompensas validadas, com 99% líquido para o minerador e 1% destinado à carteira de taxa do projeto quando essa regra estiver ativa no backend de produção.

Software de mineração pode aumentar consumo energético, temperatura e desgaste de hardware. O utilizador é responsável pela configuração, custos e segurança do equipamento e da wallet.

13. Informação e aconselhamento

A informação apresentada no site descreve o projeto e os termos indicativos da Founding Pre-Round. Não substitui aconselhamento jurídico, fiscal ou financeiro adequado à situação individual de cada participante.

1. Project and future company status

Eureka Nexus is currently in a pre-incorporation business stage. The company intended to structure and develop the project is still being incorporated and formalised.

2. Founding Pre-Round

The Eureka Nexus Founding Pre-Round seeks to raise up to €1,000,000 of initial capital to support, among other areas, company incorporation, Eureka AI development, team hiring, computing infrastructure, security, product development, operations and international expansion.

The indicative minimum investment is €100. The economic reference presented at this stage is an indicative €4,000,000 pre-money valuation and €5,000,000 post-money valuation if the round is fully subscribed, corresponding in that scenario to a maximum indicative ownership of up to 20% attributable to the full round.

These values are indicative references for structuring the round and do not, by themselves, constitute immediate issuance of shares, ownership interests or another corporate instrument.

3. Pre-incorporation nature

Funds in this stage are received before completion of incorporation of the future Eureka Nexus company.

A blockchain transfer by itself does not automatically make the participant a shareholder or company member. Final corporate ownership depends on acceptance of the investment, incorporation of the company and execution or issuance of the applicable definitive documentation.

4. Indicative ownership

When displayed on the website, the indicative ownership percentage is calculated using the investment amount divided by the indicative €5,000,000 post-money valuation.

The result is only a reference estimate and may be adjusted or structured differently in definitive documentation.

5. Blockchain payments

The current Founding Pre-Round infrastructure uses BNB Smart Chain Mainnet. Participants should verify the official receiving address displayed on the round page before making any transfer.

Transfers may be submitted in BNB or BEP-20 tokens. Assets without verifiable price, liquidity or value are subject to manual review and are not automatically counted as accepted investment.

BTC, SOL or assets through other networks should not be sent to the displayed BNB Smart Chain address.

6. Irreversibility

Blockchain transactions may be irreversible. Participants are responsible for confirming the network, address, asset and amount before authorising a transfer in their wallet.

7. Wallet verification

The system may request a cryptographic signature to demonstrate control of the stated wallet. The verification signature does not move funds and does not by itself represent final acceptance of an investment.

Eureka Nexus should never request a wallet seed phrase, private key or recovery code.

8. Verification and acknowledgement

A submitted transfer may be verified on-chain for transaction status, network, sender, recipient, confirmations and transferred assets.

An acknowledgement and reference generated by the system demonstrate registration and/or technical verification of the transfer. They do not, by themselves, constitute issuance of shares, ownership interests or another definitive corporate instrument.

9. EKNX is separate from corporate ownership

EKNX is the Eureka Nexus ecosystem digital asset and is treated separately from future ownership in the company.

Investing in the Founding Pre-Round does not mean purchasing EKNX. Likewise, holding or mining EKNX does not automatically grant ownership in the future company.

10. Risk

Participation in an early-stage technology project involves significant risk. Company formation, product development, adoption, revenue, future financing, technology, security, markets and execution may develop differently from expectations.

There is no guarantee of appreciation, financial return, dividends, liquidity, future acquisition, profit distribution or commercial success.

11. EKNX and digital assets

Eureka Nexus does not guarantee EKNX price, appreciation, liquidity, profitability or return. Digital asset market value may rise, fall or lose substantial economic value.

12. Mining

The official pool uses the defined 1% mining fee rule on validated rewards, with 99% net to the miner and 1% allocated to the project fee wallet when that rule is active in the production backend.

Mining software can increase energy use, heat and hardware wear. Users are responsible for configuration, costs and security of their equipment and wallet.

13. Information and advice

Information presented on the website describes the project and the indicative terms of the Founding Pre-Round. It is not a substitute for legal, tax or financial advice appropriate to each participant's individual circumstances.

14. Privacy

Data processing related to the Founding Pre-Round is described in the Privacy Policy.
